Introduction and Acceptance of Terms

Welcome to ClipaX, a privacy-first clipboard manager for desktop workflows. ClipaX is operated by clipax.app ("ClipaX", "we", "our", or "us"). By accessing or using the ClipaX app, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, do not use the Service.

Use of the Service

ClipaX helps you capture, organize, search, and preview content you copy, such as text, links, images, and files. Some features may be available only on certain platforms or in certain versions of the app.

  • Desktop first: ClipaX is primarily designed for desktop operating systems. Mobile support may be introduced over time.
  • Optional sync: If you enable sync, ClipaX may use third-party services (for example, OAuth identity providers and cloud storage providers) depending on your configuration.

You agree to use the Service in compliance with all applicable laws and regulations and not to use the Service in a way that harms others, interferes with the Service, or violates these Terms.

User Accounts and Registration

  1. Account Creation: To access certain features of the service, you need to create an account. You must provide accurate and complete information during the registration process.

  2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  3. User Responsibilities: You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Clipboard Content and Your Responsibilities

ClipaX may store clipboard history locally on your device and, if you enable sync, may transmit encrypted clipboard data to your selected third-party storage provider.

  • Sensitive data: Clipboard content may include confidential or personal information. You are responsible for what you copy, store, sync, and share using the Service.
  • Your systems: You are responsible for maintaining the security of your devices, operating systems, and cloud accounts used with ClipaX.
  • Data deletion: You may delete clipboard history within the app. If you use third-party storage for sync, you may also need to delete data from that provider to fully remove stored copies.

Content and Intellectual Property Rights

All content provided through ClipaX, including but not limited to software, code, features, and documentation, is protected under copyright law. The copyright owner of ClipaX is clipax.app.

  • You acknowledge that you do not own the underlying technology or intellectual property that makes up the ClipaX service, and you agree to respect the intellectual property rights of clipax.app and any third parties.
  • While you retain ownership of your clipboard data and custom configurations, the core ClipaX platform and software remain the property of clipax.app.

Prohibited Activities

You agree not to engage in any of the following prohibited activities while using ClipaX:

  • Unauthorized access to or distribution of our proprietary code and software
  • Reselling or redistributing ClipaX software without authorization
  • Interfering with or disrupting the security or performance of the service
  • Using the service for any illegal or unauthorized purpose
  • Attempting to bypass any security features of the service
  • Attempting to probe, scan, or test the vulnerability of the Service without authorization
  • Reverse engineering, decompiling, or disassembling the Service except to the extent permitted by law

Privacy and Data Collection

ClipaX may collect and process the following categories of data to operate and improve the Service:

  • Account Information: Information you provide when creating an account
  • Usage Details: Data related to your activity on our service
  • Device Information: Information about the device you use to access our service
  • Cookies: Data that helps us enhance your experience with our service
  • Payment and Billing Information: Data necessary to process payments

Pricing and Payments

  • Purchases may be offered through different channels, including the Apple App Store and external payment providers, depending on your platform and region.
  • Purchases made outside the Apple App Store may be non-refundable unless otherwise required by law or explicitly stated at the time of purchase. For purchases made through the Apple App Store, refunds are handled by Apple in accordance with their policies.
  • Prices are subject to change with notice to users
  • You agree to pay all charges associated with your selected plan
  • Payment terms are based on your selected payment method and plan

Subscriptions and Billing (App Store Purchases)

If you purchase a subscription through the Apple App Store:

  • Payment will be charged to your Apple ID account at confirmation of purchase.
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
  • Your account will be charged for renewal within 24 hours prior to the end of the current period.
  • You can manage or cancel your subscription at any time in your Apple ID account settings.
  • Refunds are handled by Apple in accordance with the App Store refund policy.
  • Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.
  • Apple is not responsible for the content, functionality, or support of the ClipaX service.

Subscription prices and plan details are displayed in the App prior to purchase and may vary by region. Subscription duration (such as monthly or yearly) is shown in the App before purchase.

Subscriptions and Billing (External Purchases)

If you purchase a subscription through an external payment provider (for example, via a web checkout):

  • Billing, renewals, cancellations, and refunds are governed by the checkout terms shown at the time of purchase and any applicable provider terms.
  • If you cancel, your subscription will generally remain active until the end of the current billing period unless stated otherwise.
  • We may require you to authenticate into your account to manage billing details.

Termination

We reserve the right to terminate or suspend your access to the service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the service, us, or third parties.

Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis. We make no warranties or representations about the accuracy, reliability, or availability of the service and disclaim all warranties to the fullest extent permitted by law.

Limitation of Liability

To the fullest extent permitted by law, clipax.app shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use the service.

Indemnification

You agree to indemnify and hold harmless clipax.app, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the service or violation of these Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which clipax.app operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the service will be resolved through binding arbitration in accordance with applicable laws. Nothing in these Terms limits any rights you may have under applicable consumer protection laws.

Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of the service after any changes signifies your acceptance of the new terms.
